WorkVive Terms of Service

Welcome to WorkVive. These Terms of Service ("Terms") govern your access to and use of the WorkVive platform, including our website, applications, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. About WorkVive

WorkVive is a multi-tenant go-to-market workspace platform that enables businesses ("Accounts") to manage their sales operations, including customer relationship management (CRM), scheduling, team collaboration, and partnership programs. The Platform facilitates connections between Accounts and sales professionals, contractors, or partners ("Partners").

2. Platform Role and Relationship Disclaimer

WorkVive is a technology platform provider, not an employer, recruiter, or party to any agreement between Accounts and Partners.

  • WorkVive does not employ, supervise, or control Partners or any personnel associated with Accounts.
  • Any agreements, arrangements, or disputes between Accounts and Partners are solely between those parties.
  • WorkVive does not guarantee the performance, conduct, or reliability of any Account or Partner.
  • WorkVive is not responsible for any employment, contractor, or partnership decisions made by Accounts.
  • WorkVive does not verify the accuracy of information provided by Accounts or Partners, including business claims, credentials, or qualifications.

3. User Accounts

3.1 Account Registration

To use the Platform, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 Account Types

  • Account Administrators: Businesses that create and manage workspaces on the Platform.
  • Team Members: Individuals invited to join an Account's workspace (including managers, sales representatives, and viewers).
  • Applicants: Individuals who apply to partnership opportunities through the Platform.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not:

  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon the rights of others, including intellectual property rights.
  • Upload, transmit, or distribute any content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the Platform or servers or networks connected to the Platform.
  • Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks.
  • Use the Platform for any fraudulent or deceptive purpose.
  • Scrape, harvest, or collect information from the Platform without authorization.
  • Post false, misleading, or deceptive job opportunities, partnership offers, or business information.

5. Account and Partner Responsibilities

5.1 For Accounts (Businesses)

Accounts are solely responsible for:

  • Compliance with all applicable employment, labor, tax, and business laws in their jurisdiction.
  • Proper classification of workers (employees vs. independent contractors).
  • Payment of wages, commissions, and any applicable taxes or benefits.
  • Providing accurate and non-discriminatory job and partnership descriptions.
  • Conducting appropriate background checks and due diligence on Partners.
  • Maintaining appropriate agreements with their Partners.
  • The accuracy of commission rates, payout terms, and business representations made through the Platform.

5.2 For Partners (Sales Representatives, Contractors)

Partners are solely responsible for:

  • Providing accurate personal and professional information.
  • Compliance with their agreements with Accounts.
  • Their own tax obligations and business licensing requirements.
  • Understanding the terms of any commission or compensation arrangements with Accounts.

6. Content and Data

6.1 User Content

You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant WorkVive a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute such content as necessary to provide and improve the Platform.

6.2 Data Accuracy

You are responsible for ensuring the accuracy of data you enter into the Platform, including contact information, lead data, deal values, and commission calculations.

7. Fees and Payment

Access to certain features of the Platform may require payment of fees. All fees are non-refundable unless otherwise specified. We reserve the right to change our fees upon reasonable notice.

8. Commission and Payout Features

The Platform includes features for tracking commissions and payouts. WorkVive does not process, guarantee, or facilitate actual commission payments between Accounts and Partners. Commission tracking features are informational tools only. All payment obligations exist solely between the Account and Partner based on their independent agreements.

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by WorkVive and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

10. Third-Party Services

The Platform may integrate with or contain links to third-party services (such as payment processors, email services, or video conferencing tools). We are not responsible for the content, privacy policies, or practices of any third-party services.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free.
  • Any information or content on the Platform is accurate, reliable, or complete.
  • Any Account or Partner will fulfill their obligations to others.
  • The Platform will meet your specific requirements.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKVIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, data, or business opportunities.
  • Any disputes between Accounts and Partners, including but not limited to disputes regarding employment status, compensation, commissions, or termination.
  • Any actions or omissions of Accounts or Partners.
  • Any reliance on information or content provided by other users of the Platform.
  • Any damages resulting from unauthorized access to your account or data.

In no event shall our total liability exceed the amount you paid to WorkVive in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless WorkVive and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any rights of another party.
  • Any dispute between you and any other user of the Platform.
  • Your employment or contractor relationships with Partners or Accounts.

14. Dispute Resolution Between Users

Any disputes between Accounts and Partners (including disputes regarding compensation, commissions, employment status, termination, or performance) must be resolved directly between those parties. WorkVive is not obligated to mediate or resolve such disputes and expressly disclaims any responsibility for their resolution.

15. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Effective Date." Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WorkVive is incorporated, without regard to its conflict of law provisions.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and WorkVive regarding the Platform and supersede all prior agreements and understandings.
